Going forward, this entity will operate as an independent brand outside the Bondora Group.<\/p>\n<blockquote>\n<p class=\"font-claude-response-body break-words whitespace-normal leading-[1.7]\">From\u00a020 April 2026, the legal entity behind Go &amp; Grow, Bondora Capital O\u00dc, has been renamed\u00a0Go&amp;Grow O\u00dc\u00a0and will soon operate as an independent brand outside the Bondora Group.<\/p>\n<\/blockquote>\n<p class=\"font-claude-response-body break-words whitespace-normal leading-[1.7]\">Bondora has also communicated that nothing will change for investors in the near term.<\/p>\n<p class=\"font-claude-response-body break-words whitespace-normal leading-[1.7]\">The Go &amp; Grow account, the app, the sign-in process, available balance, existing investments and withdrawals all remain unaffected. The target return of 6% p.a. and the liquidity model remain unchanged as well.<\/p>\n<p class=\"font-claude-response-body break-words whitespace-normal leading-[1.7]\">What will change is the name of the legal entity (now: Go&amp;Grow O\u00dc), a new domain (<a class=\"underline underline underline-offset-2 decoration-1 decoration-current\/40 hover:decoration-current focus:decoration-current\" href=\"http:\/\/www.goandgrow.eu\">www.goandgrow.eu<\/a>), emails and documents sent under the updated brand name, and a gradual visual rebrand.<\/p>\n<hr \/>\n<h2 class=\"font-claude-response-body break-words whitespace-normal leading-[1.7]\"><span class=\"ez-toc-section\" id=\"What_Is_Behind_This_Decision\"><\/span><strong>What Is Behind This Decision?<\/strong><span class=\"ez-toc-section-end\"><\/span><\/h2>\n<p class=\"font-claude-response-body break-words whitespace-normal leading-[1.7]\">The key question is: Why has Bondora made this move?<\/p>\n<p class=\"font-claude-response-body break-words whitespace-normal leading-[1.7]\">In the official announcement, the platform states:<\/p>\n<blockquote><p>Over time, Bondora has developed into two strong, clearly established areas of business:<\/p>\n<ul>\n<li>a responsible consumer lending business, operating across multiple European markets,<\/li>\n<li>and Go &amp; Grow, which provides a simple, trusted way for customers to access a diversified portfolio of loans, issued by Bondora.<\/li>\n<\/ul>\n<\/blockquote>\n<p class=\"font-claude-response-body break-words whitespace-normal leading-[1.7]\">As is typical for Bondora, the answer only partially hints at the actual motivations.<\/p>\n<p class=\"font-claude-response-body break-words whitespace-normal leading-[1.7]\">From my perspective, three drivers could explain this decision:<\/p>\n<p class=\"font-claude-response-body break-words whitespace-normal leading-[1.7]\"><strong>1. Regulatory Clarity<\/strong><\/p>\n<p class=\"font-claude-response-body break-words whitespace-normal leading-[1.7]\">Since its launch in 2018, Go &amp; Grow has operated without a product-specific regulatory licence. Bondora has previously acknowledged on multiple occasions that there is currently no specific regulatory framework that directly applies to the Go &amp; Grow product. A standalone legal entity could navigate a future licensing process far more cleanly than a product embedded within a complex group structure.<\/p>\n<p class=\"font-claude-response-body break-words whitespace-normal leading-[1.7]\"><strong>2. Banking Licence as the next Step?<\/strong><\/p>\n<p class=\"font-claude-response-body break-words whitespace-normal leading-[1.7]\">Bondora has signalled for years that obtaining a banking licence is a long-term ambition. For example in my conversation with Bondora CEO P\u00e4rtel Tomberg from June 2024. Scaling and Capital Structure<\/strong><\/p>\n<p class=\"font-claude-response-body break-words whitespace-normal leading-[1.7]\">A standalone company can be capitalised, valued, and potentially taken public when the time is right. Bondora has never categorically ruled out this option in past Q&amp;A sessions. Even if it is not the immediate intention, the platform may be laying the groundwork for future flexibility.<\/p>\n<hr \/>\n<h2 class=\"font-claude-response-body break-words whitespace-normal leading-[1.7]\"><span class=\"ez-toc-section\" id=\"What_Does_This_Mean_for_Investors\"><\/span><strong>What Does This Mean for Investors?<\/strong><span class=\"ez-toc-section-end\"><\/span><\/h2>\n<p class=\"font-claude-response-body break-words whitespace-normal leading-[1.7]\">On the surface, nothing changes for investors. But let&#8217;s take a closer look.<\/p>\n<p class=\"font-claude-response-body break-words whitespace-normal leading-[1.7]\">Here is how I see the implications across three time horizons:<\/p>\n<p class=\"font-claude-response-body break-words whitespace-normal leading-[1.7]\"><strong>Short Term: Nothing.<\/strong><\/p>\n<p class=\"font-claude-response-body break-words whitespace-normal leading-[1.7]\">Returns, the liquidity promise and all other product features remain unchanged. Investors can continue using Go &amp; Grow exactly as before and do not need to take any action.<\/p>\n<p class=\"font-claude-response-body break-words whitespace-normal leading-[1.7]\"><strong>Medium Term: Some open Questions.<\/strong><\/p>\n<p class=\"font-claude-response-body break-words whitespace-normal leading-[1.7]\">The separation into two legal entities with distinct governance structures does raise legitimate questions:<\/p>\n<ul class=\"[li_&amp;]:mb-0 [li_&amp;]:mt-1 [li_&amp;]:gap-1 [&amp;:not(:last-child)_ul]:pb-1 [&amp;:not(:last-child)_ol]:pb-1 list-disc flex flex-col gap-1 pl-8 mb-3\">\n<li class=\"whitespace-normal break-words pl-2\">Under what conditions can the cooperation agreements between Go&amp;Grow O\u00dc and the underlying lenders be amended and how transparent will that process be for investors?<\/li>\n<\/ul>\n<p class=\"font-claude-response-body break-words whitespace-normal leading-[1.7]\">As long as Go &amp; Grow was part of the Bondora Group, the collaboration with the lending business was governed internally: No external contract, no notice periods, no third party involved. With the legal separation, this collaboration becomes a contractual arrangement between two independent companies.<\/p>\n<p class=\"font-claude-response-body break-words whitespace-normal leading-[1.7]\">Bondora has only stated that the cooperation will remain &#8220;unchanged&#8221;. No details about the contractual structure have been shared yet.<\/p>\n<ul class=\"[li_&amp;]:mb-0 [li_&amp;]:mt-1 [li_&amp;]:gap-1 [&amp;:not(:last-child)_ul]:pb-1 [&amp;:not(:last-child)_ol]:pb-1 list-disc flex flex-col gap-1 pl-8 mb-3\">\n<li class=\"whitespace-normal break-words pl-2\">Who is liable in an extreme scenario such as insolvency? And to whom?<\/li>\n<\/ul>\n<p class=\"font-claude-response-body break-words whitespace-normal leading-[1.7]\">On the product FAQ page, Bondora addresses the insolvency scenario as follows:<\/p>\n<blockquote>\n<p class=\"font-claude-response-body break-words whitespace-normal leading-[1.7]\"><em>Your money is protected. Even in the highly unlikely event that Bondora Capital O\u00dc becomes insolvent, your investments remain yours. This is because investors \u2014 not Bondora Capital O\u00dc \u2014 are the legal owners of the loan claims. [&#8230;] The claims are not part of Go &amp; Grow&#8217;s bankruptcy estate.<\/em><\/p>\n<\/blockquote>\n<p class=\"font-claude-response-body break-words whitespace-normal leading-[1.7]\">This is the official position. How it would hold up in practice is something no P2P product has had to prove yet.<\/p>\n<p class=\"font-claude-response-body break-words whitespace-normal leading-[1.7]\"><strong>Long Term: Potentially more Security.<\/strong><\/p>\n<p class=\"font-claude-response-body break-words whitespace-normal leading-[1.7]\">Should Go &amp; Grow eventually obtain a banking licence or a product-specific supervisory licence, that would be a significant upgrade with a deposit protection being the obvious implication.<\/p>\n<hr \/>\n<h2 class=\"font-claude-response-body break-words whitespace-normal leading-[1.7]\"><span class=\"ez-toc-section\" id=\"My_Conclusion\"><\/span><strong>My Conclusion<\/strong><span class=\"ez-toc-section-end\"><\/span><\/h2>\n<p class=\"font-claude-response-body break-words whitespace-normal leading-[1.7]\">The Go &amp; Grow spinoff is not a red flag. Actually, it&#8217;s quite the opposite.<\/p>\n<p class=\"font-claude-response-body break-words whitespace-normal leading-[1.7]\">Bondora is transforming an internal product division into a standalone company with a clearer identity, a cleaner regulatory profile and greater strategic flexibility.<\/p>\n<p class=\"font-claude-response-body break-words whitespace-normal leading-[1.7]\">For the majority of investors using Go &amp; Grow as a simple, accessible liquidity buffer, nothing changes operationally.
